General Terms and Conditions (GTC / Terms of Service)

1. Purpose and Scope

These General Terms and Conditions (“GTC”) govern access to and use of the Legislator platform (“the Solution”), provided by Legislator, Zürich, Switzerland (“Legislator”, “we”, “our”).

By clicking a button or checkbox labelled “I agree”, “Accept”, “Sign up” or similar, by creating an account, or by accessing or using the Solution (including through an anonymous trial session), you confirm that you have read, understood, and agree to be bound by these GTC in their current version. If you do not agree to these GTC, you must not use the Solution.

If you use the Solution on behalf of a company or other legal entity, you represent and warrant that you are authorized to accept these GTC on its behalf and that the entity will be bound by them.

The Solution is an AI-powered legal research and drafting tool designed to assist professionals. It does not replace the professional judgment, responsibility, or liability of a qualified lawyer or practitioner. The Solution is intended only for users with full legal capacity under the laws applicable to them (in Switzerland, generally persons aged 18 or older).

2. Definitions

Client: any natural or legal person subscribing to or using Legislator’s Services. User: any individual authorized by the Client to access the Solution. Anonymous Trial User: a user accessing the Solution without creating a registered account. Services: the features provided by Legislator (research, analysis, drafting, workflow automation, etc.). Content: any documents, data, queries, prompts, or other materials submitted by a User.

3. Access, Accounts, and Anonymous Trial Use

3.1 Anonymous Trial Access

Users may access parts of the Solution without creating an account. Such access is treated as an anonymous trial account and is subject to these GTC. Functionality may be restricted, rate-limited, or revoked at any time without notice. Anonymous trial data may be stored ephemerally or deleted at any time.

3.2 Account Creation

Full use of the Solution requires a registered account. The Client is responsible for ensuring the confidentiality and security of login credentials and for all activities occurring under its accounts, whether authorized or not. The Client must ensure that account information (such as contact details and billing information) is accurate, complete, and kept up to date.

Legislator may reject or revoke account creation at its discretion, including retrospectively, in cases of misuse, security concerns, legal requirements, or unpaid fees.

3.3 User Obligations

If you believe that any content or use of the Solution infringes your rights or violates applicable law, you may notify Legislator using the contact details provided on the website; Legislator will review such notices in good faith and may remove or restrict access to the relevant content or account at its discretion.

4. Nature of the Services

The Solution provides AI-generated results (summaries, drafts, analyses, answers, search results, classifications, etc.). All outputs are generated automatically and may be incomplete, outdated, or incorrect.

The User is solely responsible for reviewing, validating, adapting, and applying all outputs.

No AI-generated result constitutes a legal opinion, compliance assessment, legally binding advice, or authoritative legal commentary. AI-generated text may reference legal principles, but such descriptions are solely computational outputs and must not be interpreted as doctrinal analysis, expert commentary, or interpretive guidance as understood in legal scholarship.

Legislator is not obligated to review, moderate, or verify User Content.

5. Availability and Maintenance

Legislator strives to provide reliable Service availability. However:

Legislator is not responsible for delays or failures caused by third-party providers, hosting partners, connectivity issues, or force majeure events, and is not responsible for the content or availability of third-party websites or services that may be linked to or integrated with the Solution.

6. Intellectual Property

Legislator retains all intellectual property rights relating to:

Users may not copy, reproduce, decompile, or exploit the Solution beyond the rights granted under these GTC.

Legislator does not claim ownership of User Content. Generated outputs may be used by the User without restriction, subject to applicable law.

7. Data Protection and Confidentiality

All processing of personal data is governed exclusively by the Legislator Privacy Policy, which forms an integral part of these GTC, and is accessible at:

8. Financial Terms

Use of the Solution requires a paid subscription unless stated otherwise. Subscription terms, including price, duration, renewal, and cancellation, are defined in the applicable order or offer.

Unless otherwise stated, subscriptions renew automatically for the same term. Prices are exclusive of taxes.

Legislator may update prices with reasonable prior notice for future billing periods. If the Client does not agree with a price change for a future renewal term, the Client may terminate the affected subscription with effect from the end of the then-current term; continued use of the Solution after renewal at the updated price constitutes acceptance of the new price.

8.1 Payment Default

If payment is not received by the due date:

10. Contract Duration, Suspension, and Termination

Contracts run for the duration of the subscribed plan. Either party may terminate according to the applicable notice period.

Upon termination, access is revoked and data deleted, subject to legal retention obligations.

Legislator may discontinue part or all of the Solution; prepaid fees for discontinued services will be refunded on a pro rata basis.

11. Amendments to the GTC

Legislator may amend these GTC at any time. Changes will be published on the website or communicated by email to registered Clients.

Unless a different effective date is specified, amendments take effect 30 days after publication. Continued use of the Solution after the effective date constitutes acceptance.

12. Communication

Legislator may communicate with Users and Clients via email or through the Solution. This includes information about accounts, Services, changes to these GTC, and other legally relevant notices. Notices are deemed delivered when sent to the last email address provided by the Client.

13. Assignment

Legislator may assign or transfer rights and obligations under these GTC to another entity (e.g., by operation of law, merger, acquisition, or corporate restructuring). Users may not assign their rights without Legislator’s prior written consent.

14. Severability

If any provision of these GTC is found to be invalid or unenforceable, the remaining provisions remain in full force. The invalid provision shall be replaced by a valid provision closest to its economic intent.

15. Governing Law and Jurisdiction

These GTC are governed exclusively by Swiss substantive law. The exclusive place of jurisdiction is ZĂĽrich, Switzerland, subject to any mandatory places of jurisdiction.
